Terms of Service

These Terms of Service ("Terms") govern your use of https://marsif.net and any services provided by MARSIF LLC, a Wyoming limited liability company ("MARSIF", "we", "us"). MARSIF LLC is the contracting party for all services.

1. Acceptance of Terms

By using our website or engaging our services, you agree to these Terms. If you are accepting on behalf of a business, you confirm you are authorized to bind that business.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use our services.

3. Description of Services

MARSIF LLC provides cloud, AI, and technology services, including AI advisory and implementation, cloud strategy, migration, security, and managed operations for enterprise clients, and websites and hosting, cloud application hosting, networking, Microsoft 365, business application support, and managed cloud services for small businesses. Services are primarily delivered remotely.

4. Quotes and Proposals

We may provide a quote or written proposal describing the scope of work, deliverables, estimated timeline, price, and payment terms. Unless stated otherwise, quotes are valid for 30 days and are estimates based on the information you provided.

5. Project Scope

The services we perform are limited to those described in the accepted proposal, quote, or invoice ("Agreement"). Where an Agreement conflicts with these Terms, the Agreement controls for that project.

6. Customer Responsibilities and Accurate Information

You agree to provide accurate and complete information, timely access to accounts, systems, and materials we reasonably need, and prompt feedback and approvals. You are responsible for maintaining backups of your own data unless backups are included in the Agreement.

7. Payment Obligations and Invoices

You agree to pay the fees set out in the applicable Agreement or invoice. Payment instructions and due dates are stated on each invoice. Prices are exclusive of taxes and third-party costs unless stated otherwise.

8. Deposits

Some projects may require a deposit before work begins. Any deposit requirement will be stated in the applicable Agreement.

9. Late Payments

If payment is overdue, we may pause work until the account is brought current. Late-payment charges, if any, will be stated in the applicable Agreement and will not exceed the amount permitted by law.

10. Project Changes and Change Requests

Requests that go beyond the agreed scope are change requests. We will let you know whether a change affects the price or timeline, and we may require written approval before performing additional work.

11. Delivery Timelines and Customer Delays

Timelines are good-faith estimates. Delays caused by late feedback, missing materials, third-party providers, or circumstances outside our reasonable control may extend the timeline.

12. Third-Party Services, Hosting, Domains, and Software

Projects may involve third-party services such as hosting providers, domain registrars, cloud platforms, and software vendors. Those services are governed by their providers' own terms. MARSIF LLC is not responsible for the availability, pricing changes, or performance of third-party services. Where possible, domains, hosting, and software accounts are registered in the customer's name or transferred to the customer.

13. Intellectual Property

Upon full payment, you own the final deliverables created specifically for you under the Agreement, excluding third-party components (licensed under their own terms) and our pre-existing tools, know-how, and general-purpose materials, which we license to you as needed to use the deliverables. We may retain copies for our records.

14. Customer-Provided Materials

You retain ownership of content and materials you provide and grant us a limited license to use them to perform the services. You confirm that you have the rights needed for us to use those materials.

15. Confidentiality

Each party agrees to keep the other party's non-public business information confidential and use it only for the purposes of the engagement, except where disclosure is required by law.

16. Acceptable Use

Use of our services is subject to our Acceptable Use Policy.

17. Service Availability

We do not promise that our website, or any service or system we configure, will be uninterrupted or error-free.

18. Warranties and Disclaimers

We will perform services with reasonable care and skill. Except as expressly stated in an Agreement, services and deliverables are provided "as is", and we disclaim all other warranties to the extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee specific business results.

19. Limitation of Liability

To the extent permitted by law, MARSIF LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising from any project is limited to the amount you paid us for that project in the 12 months before the claim.

20. Indemnification

You agree to indemnify MARSIF LLC against third-party claims arising from materials you provided, your use of the deliverables in violation of law, or your breach of these Terms.

21. Suspension and Termination

We may suspend or terminate services if you materially breach these Terms or an Agreement, fail to pay, or use our services in violation of the Acceptable Use Policy. Either party may terminate an Agreement as described in that Agreement.

22. Cancellation and Refunds

Cancellations and refunds are handled under our Refund & Cancellation Policy and the applicable Agreement.

23. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your location apply.

24. Changes to Terms

We may update these Terms from time to time. Changes apply from the effective date posted on this page and do not affect Agreements already accepted unless agreed.
